What the announcement is about

T-Bank's parent company, T-Technologies, has announced plans to acquire up to 100% of Cian's shares at a price of 993.05 rubles per share, Gazeta.Ru reports. The company has submitted to the Central Bank a voluntary offer to the shareholders of PJSC Cian to buy back their shares. According to the group, the financing does not involve an additional share issuance by the group.

Cian's financial background

Based on the results of 2025, Cian increased its IFRS revenue to 15.2 billion rubles, and net profit to 2.8 billion rubles. At the same time, shareholders were paid dividends of 6.5 billion rubles — more than twice the annual profit, meaning the company's main financial resource went to payouts. The company had also previously disclosed the number of transactions over the year. For Cian's shareholders, the practical significance of the announcement is the emergence of a specific buyout price and an approximate timeline for the deal; the final terms, as stated in the group's message, depend on obtaining the necessary approvals.
